Terms of Service

1. Who we are

Proofs Cloud is provided by [DURENDAL SYSTEMS LEGAL NAME], a [STATE] [ENTITY TYPE] ("Durendal Systems", "we", "us"). These terms apply to the website at proofs.durendalsystems.com, the Proofs Cloud app and the public Verify page (together, "the service"). By creating an account or using the service, you agree to them. If you use it for an organization, you agree on its behalf and confirm you're allowed to.

2. Accounts and teams

• Keep your sign-in details secure. You're responsible for what happens under your account.
• A team belongs to its Owner, who can invite people, set roles and manage billing. Work saved in a team belongs to the team and stays with it when a member leaves.
• You must be old enough to form a binding contract where you live, and at least 18.

3. Plans, trials and billing

• Plans, prices and limits are shown on our pricing and in Settings → Plan. Prices are in US dollars and exclude tax.
• Paid plans renew automatically each month or year until cancelled. Payments are handled by Stripe.
• The free trial lasts 7 days and needs no card. If no card is added, the plan ends with the trial.
• Team plans are billed per member, for at least 2. The price of adding someone is shown before the invite is sent.
• Cancellations and refunds follow our refund policy.
• We may change prices with at least 30 days' notice. A change applies from your next renewal.

4. Your content

You keep all rights to the files, captions and other material you put into Proofs Cloud ("your content"). You give us permission to store, process and display your content only as needed to run the service for you, for example to save it, build exports, and show it to people in your team. You confirm you have the right to upload your content and that it doesn't break the law or anyone else's rights.

5. Seals and Verify

• When you issue a packet, we record its fingerprint (a SHA-256 hash), the time, who issued it, the packet's name and its number of exhibits. These records are kept so that exports can be checked later, including after you downgrade, cancel or delete your account (see the privacy policy).
• Anyone with an export or its fingerprint can check it on Verify, which shows the details above.
• A seal shows that files and captions are exactly as issued. It does not show that their content is accurate, complete or true. You remain responsible for your work.

6. Acceptable use

Don't use the service to break the law; to upload malware or content you have no right to share; to try to get into other accounts or our systems; to overload, probe or scrape the service, including Verify; or to resell it without our written agreement. We may suspend accounts that do, and will tell you why where we can.

7. Other services

Proofs Cloud uses providers including Cloudflare (hosting and storage), Clerk (sign-in) and Stripe (payments). If you connect Google Drive or OneDrive, packets saved there are also subject to those services' terms.

8. Availability and changes

We work to keep the service available and your data safe, but we can't promise it will always be uninterrupted. We may improve or change features. If we ever discontinue the service, we'll give at least 60 days' notice so you can export your work. Backups can be downloaded at any time from Settings → Storage.

9. Ending your use

You can delete your account or team at any time in Settings. We may end or suspend access for serious or repeated breaches of these terms. On deletion, your content is removed as described in the privacy policy.

10. Disclaimers

To the extent the law allows, the service is provided "as is", without warranties of any kind, including fitness for a particular purpose. Keep your own copies of important work.

11. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data. Our total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the claim.

12. Governing law

These terms are governed by the laws of [STATE], without regard to its conflict-of-law rules. Disputes will be heard in the courts of [COUNTY, STATE], unless the law where you live requires otherwise.

13. Changes to these terms

We'll post any changes here and update the date above. For significant changes we'll also notify you by email or in the app at least 30 days before they apply.
